# Accruepon Terms of Service **Effective Date:** Upon acceptance. These Terms of Service ("Terms") govern your access to and use of the Accruepon platform, mobile and web applications, loyalty cards, coupon books, and the Accruepon token ecosystem (collectively, the "Service") operated by Accruepon ("we", "us", "our"). ## 1. Acceptance By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. ## 2. Eligibility You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter binding contracts. ## 3. Account Roles The Service supports multiple roles: Member, Partner (Business), Franchisee, Fundraiser, Staff, and Administrator. Some roles require approval. You are responsible for the accuracy of information you submit. ## 4. Loyalty, Coupons, and Rewards Loyalty points, stamps, coupons, and rewards are promotional and have no cash value unless explicitly stated. Partners and fundraisers set their own terms. We may modify or discontinue any program with or without notice. ## 5. Accruepon Tokens (Crypto) - Accruepon tokens are utility tokens used within the Service. They are NOT investments, securities, or guarantees of value. - Tokens may fluctuate in value or become worthless. You acknowledge the volatility and risks of cryptocurrency. - An embedded wallet is created for you via our wallet provider (Privy). You alone control access to your wallet through your registered email and recovery methods. We cannot recover lost wallet credentials. - We do not provide investment, tax, or legal advice. - You are responsible for any taxes arising from token receipt, transfer, or use. - Some token transactions may be sponsored ("gasless"); sponsorship limits and budgets are set at our discretion. ## 6. Acceptable Use You will not: (a) use the Service for fraud, money laundering, or unlawful activity; (b) impersonate others; (c) attempt to circumvent suspension or bans; (d) abuse promotions, exploit bugs, or game the rewards system; (e) interfere with the Service's operation or security; (f) reverse engineer the Service. ## 7. Suspension, Banning, and Account Deletion We may suspend, ban, or delete your account at our sole discretion for any violation of these Terms, suspected fraud, malicious behavior, or extended inactivity. Where reasonable, we will provide notice and a reason. Franchisees may suspend partners or fundraisers under their network and may request permanent removal subject to administrator approval. If your account is deleted from the Service, you will retain access to your embedded wallet and any tokens it holds via your wallet provider's recovery flow. ## 8. User Content You retain ownership of content you submit but grant us a worldwide, royalty-free license to host, display, and distribute it as needed to operate the Service. ## 9. Privacy Our Privacy Policy describes how we collect and use information. ## 10. Disclaimers THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ## 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO USD $100 OR THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF TOKENS, DATA, OR PROFITS. ## 12. Indemnification You agree to indemnify and hold us harmless from claims arising out of your use of the Service or violation of these Terms. ## 13. Changes We may modify these Terms. Continued use after changes constitutes acceptance. Material changes will require renewed acceptance. ## 14. Governing Law These Terms are governed by the laws of the jurisdiction in which Accruepon is established, without regard to conflict of law principles. Disputes shall be resolved in the courts of that jurisdiction. ## 15.
