# Partner / Merchant Agreement This Agreement is between Accruepon ("Company") and the business accepting it ("Partner"). ## 1. Participation Partner agrees to participate in the Accruepon loyalty network operated by Company and onboarded by an authorized Franchisee. ## 2. Loyalty cards & coupons Partner is solely responsible for: - The terms, value, and fulfillment of any loyalty card, stamp card, points program, or coupon they create. - Honoring valid redemptions presented through the Accruepon platform. - Pricing, taxes, and any goods or services delivered to members. ## 3. Verification Partner (or their staff) verifies redemptions in the dashboard. Verified redemptions trigger reward distribution and **cannot be reversed**. Partner is responsible for training staff to verify only legitimate redemptions. ## 4. Reward share Partner receives the business share of every reward distribution arising from a verified redemption at their location, per the splits configured in `reward_settings`. Splits and treasury cut may change at Company's discretion; historical payouts are immutable. ## 5. Wallet Reward payouts are made on-chain to the Partner's primary linked wallet. Partner is responsible for keeping that wallet operational. ## 6. Data Partner may view and use member data only for the purpose of operating their loyalty program. Partner will not sell, rent, or independently market to members outside the platform. ## 7. Conduct Partner will comply with the Acceptable Use Policy and all applicable consumer-protection, advertising, food-safety, alcohol, gift-card and lottery laws in their jurisdiction. ## 8. Suspension Company or the managing Franchisee may suspend Partner for fraud, repeated unfulfilled redemptions, or violations of this Agreement. Suspension halts new reward distributions but does not retroactively reverse past payouts. ## 9. Term Either party may terminate at any time. On termination, Partner's loyalty cards and coupons are deactivated; outstanding member balances at that Partner are forfeited unless the Partner elects to honor them off-platform. ## 10. Disclaimers & liability Same disclaimers and liability cap as the Franchisee Agreement apply.
