# Franchisee Agreement
This Agreement is between Accruepon ("Company") and the individual or entity accepting it ("Franchisee").
## 1. License
Company grants Franchisee a non-exclusive, revocable, non-transferable license to operate as an Accruepon Franchisee on the open Accruepon network.
## 2. Open network — no territory
Accruepon operates as an **open network**. There are **no exclusive territories**. Franchisee may onboard any business, fundraiser, or member anywhere the platform is available. The **first** Franchisee to sign a partner permanently owns that relationship for purposes of revenue share.
## 3. Onboarding
Franchisee is responsible for:
- Recruiting and signing partners (businesses) and fundraisers.
- Verifying the legitimacy of each partner before activation.
- Printing and distributing Accruepon Books for the fundraisers they support.
- First-line support for the partners and fundraisers they signed.
## 4. Fees
Franchisee will pay the subscription / plan fee shown at the time of acceptance, billed in the period selected (monthly or annual). Fees may change with 30 days' notice.
## 5. Revenue share
Franchisee is entitled to the franchisee share of every reward distribution arising from partners and fundraisers they signed, calculated per the splits configured in `reward_settings` at the time of distribution. Splits, treasury cut and promo multipliers may change at the Company's discretion. Historical distributions are not retroactively adjusted.
## 6. Payouts
Reward payouts are made on-chain to the Franchisee's primary linked wallet. Franchisee is responsible for keeping that wallet operational and accurate.
## 7. Conduct
Franchisee will:
- Comply with the Acceptable Use Policy.
- Not misrepresent Accruepon, its tokens, or its rewards as investments.
- Not solicit partners using deceptive, harassing or spam tactics.
- Maintain reasonable confidentiality of partner data.
## 8. Brand
Franchisee may use Accruepon trademarks solely to identify themselves as an authorized Franchisee, in accordance with brand guidelines published by the Company.
## 9. Term & termination
Either party may terminate with 30 days' written notice. The Company may terminate immediately for material breach, fraud, or AUP violation. On termination, Franchisee loses access to dashboards and forfeits future revenue share, but earned and distributed payouts remain theirs.
## 10. Independent contractor
Franchisee is an independent contractor, not an employee, partner, or joint venturer of Company. Franchisee is solely responsible for their own taxes, insurance, and business compliance.
## 11. Disclaimers
The platform is provided "AS IS". The reward token is a utility loyalty reward and not an investment — see the Crypto & Token Disclaimers.
## 12. Liability
To the maximum extent permitted by law, Company's aggregate liability is limited to the fees paid by Franchisee in the prior 12 months.
## 13. Governing law
This Agreement is governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules.
